1. Your Artwork
By submitting your artworks to our website you grant us a non-exclusive license to, inter alia, use, reproduce, market, and distribute your artworks for greetings cards via our website You Said It.co.uk.
When you upload your artwork to our web site we will provide you with an option to list and subsequently sell your artwork on alternative platforms (e.g., Amazon, EBay, Etsy, OnBuy etc.) through us. Please note that the non-exclusive license you grant to us is not confined to a specific duration.
2. Cancellation
You shall, at all times, retain the right to remove any artworks from the design catalogue and may do so upon a fifteen (15) day notice to us on the designer’s dashboard regarding the removal. Notice and reasons for removal must be detailed to us.
3. Ownership and Intellectual Property Rights
You shall continue to retain ownership of all intellectual property rights in the licensed content and can continue to supply other websites, wholesale, and sell direct to retail as standard.
You are solely responsible for your own content and any licensing issues regarding your content. However, during the duration of the grant of license, you shall notify us of any proposed exploitation of the artwork for purposes other than the permitted usages and we shall have the right to make reasonable objections if such exploitation is likely to be detrimental our business.
4. Royalties
In exchange of grant of license of your artwork, we will pay you a fixed fee for every product sold which contains the licensed image.
The current Royalty fixed fee amounts are as follows:
a) Listing on main website and other marketplaces: £ 0.30 per product sale; and
b) Listing on the trade website: £ 0.10 per product sale.
5. Payment
Payment for cards sold each month will be made on the second (2nd) day of the following month (e.g., payment for cards sold in January will be received 2nd February). Please note that you will be paid a fixed amount for each card sold therefore monthly payments may vary based upon the cards sold which contain your licensed image. Payments shall be made via the online payment system PayPal.
6. Advertising and Marketing
We may use your images from time to time in our promotional materials, in order to promote your product within our range. This will be at no cost to you and no royalties will be paid in respect of any products given away for the purpose of advertising. Additionally, a marketing pack will be supplied by our design team so that you may promote via your social content that your designs are available on You Said It.co.uk.
7. Termination
We reserve the right to terminate this agreement and to remove your content from sale at any time (with or without reason). The reasons for this include (but are not limited to) any breach of our terms of trading, or other applicable laws and regulations.
8. Accounts
We agree to keep proper accounts relating to all dealings with you and to allow you or your nominated accountant to examine our books of account relating the sales of products containing your artworks.
9. Warranty of Originality of Content
By using our website, you hereby confirm that the content provided is your own creation and does not infringe any third party’s intellectual property rights and you hereby agree to defend, indemnify, and hold harmless our website, and its agents against all legal actions, claims, costs, damages or financial expenses alleging or resulting from your use of this website or your breach of the Terms and Conditions.
10. Severability
If any provision of the Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms and Conditions, which shall remain in full force and effect.
11. Waiver
No waiver of any clause of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other clause. The Terms and Conditions constitute the entire agreement that you agree to be bound by. The Terms and Conditions shall be governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction in all matters arising.
